Article 1 (Application) These Terms of Use shall apply to all relationships related to the use of the Service between the user and Misosil.,inc. The user and Misosil, upon consultation in individual agreements, stipulate provisions that differ from these Terms of Use, in which case the individual agreement shall take precedence over these Terms of Use.

Article 2 (Registration) Registration for use shall be completed when an applicant for registration applies for registration for use by the method specified by Misosil and when Misosil approves the application. If Misosil determines that the applicant has any of the following reasons, Misosil may not approve the application for registration, and shall not be obligated to disclose the reasons for such denial.

(1)The applicant has provided false information when applying for registration

(2)If the application is from a person who has violated these Terms of Use.

(3)The applicant is a minor, an adult ward, a person under curatorship, or a person under assistance, and has not obtained the consent of a legal representative, guardian, curator, or assistant.

(4)The applicant is an anti-social force, etc. (meaning a crime syndicate, a member of a crime syndicate, a right-wing organization, an anti-social force, or any other equivalent), or has not obtained the consent of a legal representative, guardian, conservator, or assistant. (i.e., organized crime groups, organized crime syndicates, right-wing groups, antisocial forces, or other similar persons), or if Misosil determines that the user is involved in any interaction or involvement with antisocial forces, such as cooperating or participating in the maintenance, operation, or management of antisocial forces through the provision of funds or otherwise

(5) In any other cases in which Misosil deems the registration of use to be inappropriate.

Article 3 (Management of User ID and Password) The User shall manage his/her user ID and password for the Service at his/her own responsibility. User shall not, under any circumstances, transfer or lend User ID and password to any third party. When a user logs in with a user ID and password that match the registered information, Misosil shall consider the use of the Service to be by the user who has registered the user ID.

Article 4 (Usage Fees and Payment Methods) The User shall pay the usage fees separately determined by Misosil and displayed on the Website as compensation for the use of the Service, in a method designated by Misosil. If the User delays payment of the usage fee, the User shall pay a late fee plus interest to the extent stipulated by law.

Article 5 (Prohibited Matters) The User shall not engage in any of the following acts when using the Service.

1. In using the Site and the Service, the User shall not engage in any of the following acts or acts that may lead to such acts

(1)Criminal acts or acts that may lead to criminal acts

(2)Acts that infringe on the copyrights, trademarks, other intellectual property rights, privacy rights, honor, or other rights of Misosil or any third party.

(3)Acts that discriminate against or defame Misosil or third parties.

(4)Acts that use the Site or the Service for profit-making or commercial purposes (except when approved by Misosil).

(5)Acts that interfere with the operation of this service, such as unauthorized access to the system for providing this service, spamming, etc.

(6)Acts of reproducing, copying, reprinting, transferring, storing, selling, publishing, or otherwise using all or part of this Site or the Contents beyond the scope of the individual user’s private use without Misosil’s permission.

(7)Sublicensing, transferring, or offering as collateral the right to use this Site to a third party.

(8)Reverse engineering, decompiling, disassembling, or other similar acts

(9) Damaging the credibility of Misosil or a third party.

(10) Act to use this site or service by impersonating another person.

(11)Acts that violate laws and regulations, public order and morals, or these Terms of Use.

(12)Use of the Site or the Service in a manner other than that approved by Misosil

(13)Acts that are disruptive to Misosil or third parties

(14)Other acts that Misosil deems inappropriate.

2. If a user is found to have committed any of the acts listed in the preceding paragraphs, Misosil may, without prior notice to the user, suspend the user’s use of all or part of the Service or expel the user from the Service, and the user shall not make any objection to Misosil’s decision. Users shall not be able to make any objection to Misosil’s decision.

Article 6 (Disclaimer of Warranty and Disclaimer of Liability, etc.)

(1)Misosil does not guarantee the accuracy, currency, completeness, usefulness, or any other aspect of the Site, the Service, or the information provided by the Service.

(2)Even if a user’s terminal is not suitable for use of the Site or the Service, Misosil shall have no obligation to change or modify the Site or the Service to make it suitable for such use.

(3)Misosil shall not be involved in any communication or activity of the User, and shall not be liable for any damages arising from information on the Service. In the unlikely event that a dispute arises between a user and a third party, Misosil shall have no obligation to respond to said dispute.

(4)Misosil shall not be liable for any damages arising from slowdowns or failures in the display speed of the Service due to excessive access or other unforeseen factors.

(5)In the event that a user violates these Terms of Use or commits any other act that Misosil deems inappropriate for the operation of the Service, Misosil may, without any notice, demand, or disclosure of reason, suspend the use of the Site and the Service, expel the user, claim damages, etc., against the user in question. Misosil may take necessary measures (including legal action) to prevent the User from committing such acts without any notice, demand, or disclosure of reason. Misosil shall not be liable for any damages incurred by the User as a result of such actions.

Article 7 (Suspension of the Service, etc.) Misosil may suspend or discontinue the Service, in whole or in part, without prior notice to the User, for any of the following reasons

(1) When performing maintenance, inspection, or updating of the computer system related to the Service

(2)When provision of the Service becomes difficult due to force majeure such as earthquake, lightning, fire, power outage, or natural disasters

(3)When computers or communication lines are stopped due to an accident

(4) In any other cases in which Misosil deems it difficult to provide this Service.

Misosil shall not be liable for any disadvantage or damage incurred by the User or a third party due to the suspension or interruption of the provision of the Service, regardless of the reason.

Article 8 (Intellectual Property Rights, etc.) Misosil shall not be held liable for any loss or damage of any kind incurred by the User or any third party due to the suspension or interruption of the provision of the Service (hereinafter referred to as the “Contents”). The User shall not reproduce, copy, reprint, transfer, store, sell, publish, or otherwise use the Contents beyond the scope of the User’s personal use without Misosil’s permission, regardless of the method or form. The User shall not use these materials in any manner or form beyond the scope of personal use by the User without the prior consent of Misosil.

Article 9 (Restriction of Use and Termination of Registration) We may, without prior notice, delete data, restrict a user’s use of all or part of the Service, or terminate a user’s registration as a user, in the following cases.

(1)The user has violated any of the provisions of these Terms of Use.

(2)When it is found that there is a false fact in the registration information

(3) When a petition is filed for bankruptcy, civil rehabilitation, corporate reorganization, or special liquidation proceedings.

(4)When there has been no use of this service for more than one year

(5)When there has been no response to inquiries or other communications requesting a response from Misosil for 30 days or more

(6)In any other cases where Misosil deems the use of the Service inappropriate.

In the event that any of the items of the preceding paragraph applies, the User shall naturally lose the benefit of time with respect to all debts owed to Misosil, and shall immediately repay all debts owed at that time in a lump sum. Misosil shall not be liable for any damages incurred by the User as a result of actions taken by Misosil in accordance with this Article.

Article 10 (Change of Service Contents, etc.) Misosil reserves the right to change the contents of the Service or discontinue providing the Service without notice to the User, and shall not be liable for any damages incurred by the User as a result thereof.

Article 11 (Handling of Personal Information and Information herein)

(1)Misosil respects the privacy of the User, takes the utmost care in managing the User’s personal information, and handles the User’s personal information in accordance with the privacy policy stipulated by Misosil.

(2)Misosil may analyze the information that users register and post using the Service at their own will and responsibility, identifying individuals, or create statistical data and attribute information processed in such a way that individuals cannot be identified, and may use such analysis, statistical data, or attribute information in a form that individuals cannot be identified without any restrictions. Misosil may use such analysis, statistical data, or attribute information in a form in which individuals cannot be identified without any restrictions. Such use shall include, but not be limited to, use for market research, service review of this service, and review and development of our existing and new services.

(3)Misosil may use the analysis, statistical data or attribute information and user information set forth in the preceding paragraph to provide users with information regarding various events planned by Misosil or services provided by Misosil on behalf of specific companies or at Misosil’s discretion.

Article 12 (Antisocial Forces)

1. The User must not be currently a member of a crime syndicate, a member of a crime syndicate, a person who has not been a member of a crime syndicate for 5 years, a quasi-organized member of a crime syndicate, a company affiliated with a crime syndicate, a general meeting house, etc., a socially motivated group, or a special intelligence group, or any other person equivalent thereto (hereinafter referred to as “crime syndicate members, etc.”). The customer represents and warrants that he/she does not fall under any of the following items, and will not fall under any of the following items in the future.

(1)Having a relationship with an organization that is deemed to be controlled or substantially involved in the management of a crime syndicate etc. or any other similar entity.

(2)Having a relationship with an organization that is deemed to be using a crime syndicate etc. unjustly, such as for the purpose of seeking unjust profits for oneself or a third party, or for the purpose of inflicting damage on a third party.

(3)To have a relationship with an organization that is deemed to be involved in providing funds or other benefits to a crime syndicate, etc.

2. The User shall ensure that he/she will not commit any of the following acts by himself/herself or by using a third party

(1)Violent demanding acts

(2)Unreasonable demands beyond legal responsibility

(3)Acts of threatening words or deeds or using violence in connection with transactions

(4)Acts of spreading rumors, using deceptive means or force to damage the other party’s credibility or obstruct the other party’s business.

(5)Any other acts similar to the preceding items.

Article 13 (Modification of Terms of Use)

(1)Misosil may, at its discretion, change these Terms of Use at any time and for any reason.

(2)Unless otherwise specified by Misosil, the modified TOS shall become effective from the time they are displayed on the screen of the terminal on which the Service is provided.

(3)If you do not agree to the modified TOS, you shall terminate your use of the Site and the Service, and your continued use of the Site and the Service after the modified TOS take effect shall be deemed as your agreement to the modified TOS. The User shall be deemed to have agreed to the modified TOS.

Article 14 (Validity of this TOS and Other Terms of Use, etc.)

(1)If any provision of these Terms of Use is determined to be invalid under any law or regulation, the other provisions of these Terms of Use shall remain in full force and effect.

(2)Even if all or part of the provisions of these Terms of Use are held invalid or revoked in relation to one user, these Terms of Use shall remain valid in relation to other users.

Article 15 (Prohibition of Assignment of Rights and Obligations)

(1)Except as otherwise provided in these TOS, a user may not transfer, lend, or offer as collateral any rights or obligations arising under these TOS to any third party without the prior written consent of Misosil.

(2)In the event that we transfer the business of this service to another company, we may transfer the position under the TOS, rights and obligations under the TOS, and user information to the transferee of such business transfer, and the user agrees to such transfer in advance. The business transfer stipulated in this section shall include not only ordinary business transfers, but also corporate divestitures and any other cases in which business is transferred.

Article 16 (Governing Law and Jurisdiction) These Terms and Conditions shall be governed by and construed in accordance with the laws of Japan. The Tokyo District Court shall have exclusive jurisdiction over any disputes arising in connection with the Service.
